SEOUL, South Korea and CUPERTINO, Calif., April 20, 2015 /PRNewswire/ — MagnaChip Semiconductor Corporation (“MagnaChip”) (NYSE: MX), a Korea-based designer and manufacturer of analog and mixed-signal semiconductor products announced today that it has kicked-off an Internet of Things (IoT) task force and will offer diversified products with ultra-low power technology in anticipation of the fast growing IoT market. Gartner estimates that the processing, sensing and communications segments of the IoT market will grow at a compound annual growth rate (CAGR) of 29.2% from $7B in 2013 to $43B by 2020. This rapid growth rate outpaces the rest of the semiconductor industry which is predicted to grow at a rate of 4.6% over the same period.

MagnaChip offers a 0.18 micron ultra-low power technology that enables System-on-a-Chip (SoC) applications with low active and low stand-by power consumption. This new process features very low start-up voltage and enables DC-DC Boost Converters to be suitable for IoT applications. Another important technology feature is operational efficiency. This process allows for low electrical current draw, which is suitable for IoT devices such as solar cells, thermoelectric generators, vibration energy harvesters and electromagnetic harvesters.

Based on its already developed 0.18 micron ultra-low power technology, MagnaChip also plans to provide a diversified portfolio within the ultra-low power sector. This includes 0.13 micron ultra-low power EEPROM, Bipolar-CMOS-DMOS (BCD) and mixed-signal technologies. Ultra-low power technology is a key element for conserving energy usage within IoT devices. IoT applications demand an always on, low-power energy source and long battery life which are requirements that MagnaChip’s ultra-low power technology enables.

MagnaChip also offers 0.18 micron and plans to offer 0.13 micron Silicon on Insulator (SOI) RF-CMOS technologies, which is suitable for use in antenna switching, tuner and Power Amplifier (PA) applications. Switches and tuners are core components of wireless Front-End-Modules (FEMs) for cellular and Wi-Fi connectivity in IoT devices. MagnaChip’s CMOS based FEMs reduce manufacturing cost and time to market while providing competitive performance for multiband and multimode smartphones, tablets and other IoT devices.

Furthermore, MagnaChip’s 0.13 and 0.18 micron BCD technologies support high-voltage (up to 100V) and high-efficiency power ICs such as voltage regulators and converters, Power-over-Ethernet and smart LED Lighting solutions, which are essential power elements in IoT applications. With the combination of power devices with lower Specific On-Resistance (Rsp, defined as drain-source resistance times device area, Rds*A), improved isolation and higher reliability, MagnaChip’s 0.13 and 0.18 micron BCD processes will help our foundry customers to design IoT products with smaller and more power efficient characteristics.

“We believe there is tremendous growth opportunity in the IoT market and our participation is part of our overall strategy to broaden our product portfolio in new markets,” said YJ Kim, MagnaChip’s interim Chief Executive Officer. “MagnaChip’s IoT task force and business consortium with key business partners will reinforce our position as a key manufacturing service provider in the expanding IoT market.”

As previously disclosed by the Company in its Form 12b-25 filed with the Securities and Exchange Commission (the “SEC”) on March 17, 2015, because of the time, effort and resources required to complete the Company’s 2013 Annual Report on Form 10-K, as well as the Company’s 2014 Quarterly Reports on Form 10-Q for the quarterly periods ended March 31, 2014, June 30, 2014 and September 30, 2014, each of which was filed with the SEC on February 12, 2015, the Company was substantially delayed in initiating its 2014 fiscal year end close and audit. The Company is currently in the process of completing the preparation of its financial statements for its fiscal year ended December 31, 2014 and its 2014 Form 10-K, and currently anticipates filing its 2014 Form 10-K in the second quarter of 2015; however, the Company cannot provide any assurances at this time that it will be able to meet its expected timing.

The NYSE has informed the Company that, under the NYSE rules, the Company will have six months (until September 30, 2015) to file its 2014 Form 10-K with the SEC. If the Company fails to file its 2014 Form 10-K on or before such date, then the NYSE may, in its sole discretion, grant an additional extension of up to six months depending on the specific circumstances. The letter from the NYSE also notes that the NYSE may commence delisting proceedings at any time during the extension period if the circumstances warrant.

SEOUL, South Korea and CUPERTINO, Calif., March 6, 2015 /PRNewswire/ — The Board of Directors of MagnaChip Semiconductor Corporation (“MagnaChip” or the “Company”) (NYSE: MX), a Korea-based designer and manufacturer of analog and mixed-signal semiconductor products, announced today that it has adopted a stockholder rights plan following evaluation and consultation with outside counsel.

The Board of Directors implemented the plan to ensure that all stockholders realize the long-term value of their investment. The rights plan is designed to reduce the likelihood that any person or group would gain control of the Company through open market accumulation without appropriately compensating the Company’s stockholders for such control or allowing the Board and the stockholders sufficient time to make informed judgments. The rights plan will not prevent a takeover, but will incentivize anyone seeking to acquire the Company to negotiate with the Board of Directors before making a takeover attempt.

Pursuant to the plan, the Board of Directors declared a dividend of one preferred stock purchase right (a “Right”) on each outstanding share of the Company’s common stock as of March 16, 2015. If a person or group of affiliated or associated persons acquires beneficial ownership of 10% (or 20% in the case of a passive institutional investor) or more of the Company’s common stock ownership (including any common stock in respect of certain derivative securities that increase in value as the value of the Company’s common stock increases or that provide the holder with an opportunity to profit from any increase in the value of the Company’s common stock, that are disclosed pursuant to a Schedule 13D or Schedule 13G under the Securities Exchange Act of 1934 or, if not disclosed on a Schedule 13D or Schedule 13G, if the Company’s Board of Directors determines that such person is deemed to beneficially own the common stock in respect of such derivative securities) or commences a tender offer the consummation of which would result in ownership by a person or group of affiliated or associated persons of 10% (or 20% in the case of a passive institutional investor) or more of the common stock, subject to certain exceptions, the Rights would entitle the Company’s stockholders, other than the acquirer and its affiliates and associates, the opportunity to purchase for each share of common stock owned, $24 worth of shares of the Company’s common stock having a market value of twice such price. In addition, if the Company is acquired in a merger or other business combination transaction after a person or group acquires 10% (or 20% in the case of a passive institutional investor) or more of the Company’s outstanding common stock, the Rights would entitle the Company’s stockholders, other than the acquiror, the opportunity to purchase for each share of common stock owned, $24 worth of shares of the other party’s common stock having a market value of twice such price.

Prior to the acquisition by a person or group of 10% (or 20% in the case of a passive institutional investor) or more of the Company’s common stock, the Rights are redeemable for $0.001 per Right, subject to adjustment, at the option of the Board of Directors. The Rights will expire at the close of business on March 5, 2016. The Rights distribution is not taxable to stockholders.

SEOUL, South Korea and CUPERTINO, Calif., Feb. 2, 2015 /PRNewswire/ — MagnaChip Semiconductor Corporation (“MagnaChip”) (NYSE: MX), a Korea-based designer and manufacturer of analog and mixed-signal semiconductor products, announced today that it now offers a high voltage option for its 0.13 micron embedded EEPROM technology. This enhanced process increases noise immunity by improving the signal-to-noise ratio (SNR), a critical factor in touch sensing IC performance.

0.13 micron embedded EEPROM IP enhances the performance of touch controller ICs and MCUs by decreasing the density of 32Kbyte memory blocks by approximately 50% and by adding a high voltage (HV) option. The newly developed HV option, which features 10V and 20V transistors, requires the least amount of masks to implement and is completely independent of the 0.13 micron EEPROM logic to insure a seamless integration. Overall, this process technology enhances the functionality and performance of IC designs by improving the signal-to-noise performance.

MagnaChip also intends to release a 30V version in 2015, which is suitable for larger screen mobile applications. Along with the 0.18 micron embedded EEPROM, the 0.13 micron embedded EEPROM technology, through its various HV options, completes MagnaChip’s embedded EEPROM technology portfolio. This is confirmation that MagnaChip is taking the necessary steps to provide the embedded EEPROM options our customers most need.

Namkyu Park, Executive Vice President of MagnaChip’s Semiconductor Manufacturing Services Division stated, “We are very pleased to now offer a high voltage option for our enhanced 0.13 micron embedded EEPROM technology. Our goal is to continue to develop competitive features that meet the increasing application specific needs of foundry customers.”
